Our Client
Our client, a leading regulatory hosting platform, is currently seeking a Legal Counsel for its London office. About $20bn in AuM are currently hosted on the firm's investment management platform, spanning across circa 150 client companies.
The firm is now looking to hire a qualified lawyer to join its Legal department, to focus on providing legal services to the entity. The successful candidate will be reporting into the firm's US-based legal department as well as the Chief Compliance Officer.
Main Responsibilities
Main duties of the role will include, but are not limited to:
Draft, review and negotiate a vast range of legal agreements - from investment management agreements to NDAs
Draft and review ISA agreements, side letters and other trading agreements
Advise the firm's governing bodies on all legal matters related to the firm's operations
Alongside the Legal department, assist with the management of any litigation claims in relation to the business
Work with external counsel in reviewing advice and guidance relevant to the firm
Work alongside the Chief Compliance Officer and Senior Compliance Officer in updating and drafting new policies and procedures
Providing advice and an interpretation of new rules and legislation which will impact the firm
Provide assistance with UK corporate governance matters
Any other ad hoc work as directed by the General Counsel of Chief Compliance Officer
Your Profile
A UK qualified lawyer with 3-5 years PQE, working in a regulatory practice for a leading law firm or in-house from an asset manager, hedge fund or any other buy-side financial services business
Proven experience in relevant regulatory environments (such as AIFMD, MIFID, etc.)
Understanding of US/UK securities law, EMIR, ISDA and funds law desirable
Comfortable with being part of a US-based Legal department as the sole UK-based lawyer
