As Corporate Governance Manager, you will be responsible for upholding the ethical conduct and corporate governance standards across the organisation, working closely with the board of directors. This is a newly created role offering the chance to work globally within a complex and fast moving environment.
Key responsibilities for this position will include, but are not limited to:
Oversee legal tasks across multiple countries, including engaging at board and shareholder meetings.
Implement governance frameworks, policies and processes in line with all local legislation.
Set up new entities according to the local jurisdiction, prepare constitutional documents, and assist with registrations and ongoing legal matters.
Advise on company distributions, dissolutions, incorporations, and liquidations.
Advise the board and management on corporate governance and company law.
Manage the yearly legal obligations such as annual reports and financial statements.
Prepare board and shareholder packs and advise on corporate governance procedures.
10+ years experience, likely coming from private practice or a company secretarial role in-house within a commercial organisation.
Appropriate legal qualification.
Established track record of successfully managing corporate governance issues and implementing processes.
Proven ability to deliver high-quality, accurate work while managing intricate structures and entities.
Experience dealing with sensitive and confidential information.
A highly organised and driven individual with the ability to engage with a range of stakeholders credibly and efficiently.
