Key Responsibilities
In this role, you will take on a range of significant responsibilities, which will encompass, but not be limited to:
Collaborating in the structuring, creation, and documentation of private equity funds, including the preparation and negotiation of fund-related documents, partnership agreements, and subscription agreements.
Ensuring that private equity funds are in compliance with all pertinent legal and regulatory requirements while staying informed about the ever-evolving legal landscape that impacts the industry.
Cultivating and managing relationships with fund investors, proactively addressing investor inquiries, concerns, and requests, and delivering legal counsel on matters related to fund operations.
Scrutinizing and negotiating investment documents, including term sheets, purchase agreements, and various transactional materials, all while providing expert guidance on the legal facets of fund investments.
Conducting meticulous due diligence and legal research related to potential investments, evaluating the associated risks and benefits associated with fund activities.
Offering insightful guidance on fund governance, attending to important matters such as fund meetings, maintaining thorough record-keeping, and ensuring unwavering adherence to fund policies.
Your Profile
Possess an exceptional academic record.
Demonstrate focused experience in fund formation law from a leading law firm in this field.
Be willing to sit for the NY Bar exam.
Hold qualifications as a licensed lawyer.
Basic salary range for this position is $225,000 - $345,000
